Terms & Privacy

This English version is provided for convenience only; the German version is legally binding.

General Terms and Conditions 2020

  • 1 Scope
  • Only these General Terms and Conditions shall apply; any conflicting or deviating terms of sale of the buyer are not recognised, unless their validity has been expressly agreed to in writing in an individual case. Our terms and conditions regarding sale therefore also apply even if, with knowledge of conflicting or deviating terms of sale of the customer, a delivery is made to the customer. Conflicting general terms and conditions are also to be regarded as deviating even if they contain extending, additional conditions.
  • These terms of sale apply only to entrepreneurs within the meaning of § 310 (1) of the German Civil Code (BGB).
  • 2 Offers
  • All offers made are non-binding. The product descriptions contained in the seller's online shop do not constitute binding offers on the part of the seller, but serve to enable the customer to submit a binding offer.
  • Details, in particular dimensions, weight, illustrations, descriptions, assembly sketches, price lists and other printed materials, are determined to the best of our ability but are not binding on us.
  • We reserve ownership and copyright in our own illustrations, calculations or other documents.
  • The prices stated are total prices which include the statutory value added tax, unless otherwise specified. Transport costs are to be calculated additionally and are not included in the price.
  • 3 Order Confirmation
  • All orders, agreements, assurances or similar made by representatives or other employees require our written confirmation. Objections to such confirmations must be made in writing without delay, at the latest within one week. Confirmed prices always apply only to the previously agreed quantity.
  • The sale prices applicable at the time the contract is concluded shall always apply, unless another specific date is expressly determined in writing. These become fixed prices if our offer is accepted unchanged by written confirmation without delay, at the latest within 10 days, regardless of the number of working days.
  • In the event of price changes or cost increases in the period between the conclusion of the contract and the agreed delivery date, we are entitled to make a reasonable price adjustment, provided that at least 4 months lie between the conclusion of the contract and delivery. Should this price increase amount to a deviation of more than 10% from the original price, the customer has an extraordinary right to withdraw from the contract.
  • Liability for culpable injury to life, body or health remains unaffected by this.
  • There is no right of withdrawal.
  • 4 Delivery
  • Delivery is made for the account and at the risk of the customer.
  • Where free delivery has been agreed, risk passes upon the vehicle's arrival at the delivery address. Partial deliveries are permitted and are deemed to be independent deliveries.
  • For goods delivered by freight forwarder, delivery is made "free kerbside", i.e. up to the nearest public kerb to the delivery address, unless otherwise stated in the shipping information in the seller's online shop or otherwise agreed.
  • The choice of transport route and means of transport remains reserved to us.
  • Compliance with our delivery obligation presupposes the timely and proper performance by the buyer; the defence of non-performance of the contract remains reserved.
  • If the customer falls into default of acceptance or culpably breaches other duties to cooperate, whereby simple negligence is sufficient, we are entitled to demand compensation for damage incurred, including any expenses, without this affecting the assertion of further damages.
  • If a "fixed-date transaction" (Fixgeschäft) exists, we are liable in accordance with the statutory provisions. In this respect, it is required that the conclusion of the contract, or our order confirmation, is headed with the word "Fixgeschäft".
  • Irrespective of paragraph 7, we are liable for a delay in delivery in accordance with the statutory rules. Transport is carried out in accordance with paragraph 4 to the best of our knowledge. Insurance against transport damage, transport losses or transport breakage is taken out only at the buyer's express request and at their expense. Notifications of damage relating to the aforementioned losses must be reported without delay after receipt of the goods and confirmed in writing as to type and extent. Immediate notification of transport damage must be noted on the delivery note; the same applies to shortages. Claims for such damage against third parties are to be assigned to us on request.
  • Should a delivery be made to a country outside the EU, the customer shall bear, in addition to the transport costs, any further charges incurred, such as import duties.
  • In the case of self-collection, the seller will first inform the customer by email that the goods ordered are ready for collection. After receiving this email, the customer may collect the goods, by arrangement with the seller, at the seller's registered office. In this case, no shipping costs are charged.
  • 5 Liability for Defects – Warranty
  • Where the buyer acts as a merchant within the meaning of the German Commercial Code (HGB), the assertion of claims for defects requires that the buyer has properly fulfilled their duty to inspect and give notice of defects owed under § 377 HGB.
  • Deviating from the standard statutory limitation period, the limitation period for claims for defects is 12 months.
  • For used goods, claims for defects are generally excluded entirely.
  • If supplementary performance has taken place by way of a replacement delivery, the customer is obliged to return the originally delivered goods to the seller within 30 days. The return of the defective goods must be carried out in accordance with the statutory provisions. Warranty claims must likewise be asserted within the same period if the repair has been carried out by a third party. A form is available on the website for this purpose:
  • Repairs by third parties that incur costs of more than €1,000 may only be carried out after consultation with, and with the prior written approval of, GOLF TECH Maschinenbau GmbH.
  • Where a repair is not carried out directly by the seller, the supply of spare parts under warranty is carried out by GOLF TECH Maschinenbau GmbH as part of its usual order processing, i.e. initially invoiced at the fixed conditions. After the warranty claim has been accepted, GOLF TECH Maschinenvertriebs GmbH will issue the corresponding credit note. The right to warranty is excluded if the buyer uses spare parts that are not original parts or parts supplied by the seller.
  • We are liable in accordance with the statutory provisions where the customer asserts claims for damages based on intent and gross negligence. Insofar as there is no intentional breach of contract, liability for damages is limited to the foreseeable damage typically arising.
  • The same limitation applies in the case of a negligent breach of duty as a result of which the buyer is entitled to compensation for damage in lieu of performance.
  • Liability for culpable injury to life, body or health remains unaffected by this.
  • Damage attributable to improper handling and assembly, inadequate maintenance, or culpable handling by the buyer is not covered by the warranty. The same applies to improper assembly carried out outside of workshops approved by GOLF TECH Maschinenvertriebs GmbH. Defects resulting from the use of lubricants other than those prescribed are likewise excluded from the warranty.
  • Complaint parts must be kept and stored until the warranty matter has been finally resolved, but for at least 90 days, and must be sent or delivered to GOLF TECH Maschinenbau GmbH in Münster within one week of their request.
  • 7 Retention of Title
  • The seller retains title to the delivered goods until all claims from an ongoing business relationship have been paid in full. Where a current account relationship exists, we retain title to the purchased item until receipt of all payments arising from the existing current account relationship.
  • The buyer is obliged to handle the item acquired under retention of title with care until the conditional right of ownership has matured into full title; any repair or maintenance costs arising are to be borne by the buyer.
  • In the event of any seizure of the goods against the buyer, the buyer must notify us without delay so that a third-party objection action can be brought. Should this third party be unable to reimburse the costs of the action brought, the buyer is liable accordingly.
  • The buyer is entitled to resell the reserved goods in the ordinary course of business. The customer hereby assigns in advance to the seller, in full, all claims against third parties arising from this, up to the amount of the respective invoice value. This assignment applies irrespective of whether the reserved goods are resold without or after processing. The customer remains authorised to collect the claims even after the assignment. The seller's right to collect the claims itself remains unaffected. However, the seller will not collect the claims as long as the customer meets its payment obligations to the seller, does not fall into payment default, and no application has been filed for the opening of insolvency proceedings.
  • The seller expects the buyer, through appropriate service discipline, to actively monitor the purchased goods and to provide ongoing support through accompanying measures, such as regular maintenance or the training of workshop personnel by participating in the aforementioned training courses at the seller's premises.
  • Any required conversion or retrofitting measures must be implemented promptly after notification by GOLF TECH Maschinenvertriebs GmbH, but no later than two months after such notification.
  • 8 Prices and Payment Terms
  • Prices already include statutory value added tax, which is shown separately on the invoice at the currently applicable rate.
  • Invoiced amounts are due and payable immediately, unless a different payment date is stated on the invoice.
  • Any deduction of a cash discount requires a separate written agreement. This is subject to the condition that any outstanding earlier invoices have already been settled by the buyer. Even then, the buyer has no entitlement to the cash discount deduction.
  • Accepted means of payment: bank transfer
  • The buyer's rights of retention are excluded unless they are based on the same contractual relationship.
  • 10 Data Protection
  • We process the data required to carry out the business relationship on the basis of our current privacy policy, which is available on our homepage.
  • 11 Place of Jurisdiction – Place of Performance
  • Where the buyer is a merchant within the meaning of the HGB, the place of jurisdiction is our registered office; we are entitled, by way of exception, to sue the buyer at their place of residence instead.
  • Unless otherwise stated in the order confirmation, the place of performance is always our registered office.
  • 12 Applicable Law
  • The law of the Federal Republic of Germany applies to all legal relationships between the parties, excluding the law on the international sale of goods (CISG).
